End User License Agreement

This End User License Agreement (“EULA” or “Agreement”) is a binding agreement between you (“Licensee” or “you”) and Fiatos LLC, a Colorado limited liability company (“Fiatos,” “we,” “us”), governing your installation, access, and use of the Fiatos software products, including but not limited to Lucid and Dossier, together with any associated mobile applications, web applications, services, models, content, documentation, and updates (collectively, the “Software”).

By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install, access, or use the Software. This EULA supplements the Fiatos Terms of Service and Privacy Policy. In case of conflict between this EULA and the Terms of Service with respect to the Software, this EULA controls.

1. License Grant

Subject to your continuous compliance with this EULA, the Terms of Service, and any applicable subscription or order, Fiatos grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

(a) install and use the Software on devices that you own or control, solely for your personal, non-commercial use, or, if you are a paid subscriber, for your internal business purposes;

(b) access AI-generated outputs produced by the Software (“Outputs”) for the purposes for which the Software is intended.

For the Lucid product, the license is granted to a parent or legal guardian who registers the account; the parent or guardian is responsible for compliance with this EULA on behalf of any child user.

2. License Restrictions

You shall not, and shall not permit any third party to:

  • copy, modify, translate, or create derivative works of the Software, except as expressly permitted by this EULA or applicable law;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, training data, or proprietary architectures from the Software, except to the limited extent permitted by applicable law notwithstanding this restriction;
  • sell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Software or any rights under this EULA;
  • use the Software to build or train any artificial intelligence model, machine learning system, dataset, or product that competes with the Software;
  • use the Software to scrape, mirror, or systematically retrieve content beyond intended use;
  • remove, obscure, or alter any proprietary notices, labels, or marks on or in the Software;
  • use the Software in any manner that violates applicable law (including export control, sanctions, and child-protection laws), infringes any third party’s rights, or breaches any agreement to which you are bound;
  • use the Software to generate or distribute content that is unlawful, harmful, harassing, defamatory, sexually explicit (especially involving minors), hateful, or otherwise objectionable;
  • use the Software to make decisions that produce legal or similarly significant effects without independent human review;
  • circumvent any technical protection measures, rate limits, or usage restrictions.

3. Ownership; Reservation of Rights

The Software is licensed, not sold. Fiatos and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights, all model architectures, weights, prompts, datasets, and improvements thereto, except for the limited license expressly granted in Section 1. No rights are granted to you by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

“Fiatos,” “Lucid,” “Dossier,” and associated logos are trademarks of Fiatos LLC.

4. User Content and Outputs

(a) User Content. “User Content” means content you submit to the Software (including prompts, queries, uploaded documents, and reading-history signals in Lucid). You retain ownership of your User Content. You grant Fiatos a worldwide, royalty-free license to host, store, transmit, display, and process User Content solely as necessary to operate, maintain, and improve the Software for you, in accordance with the Privacy Policy. Fiatos does not use User Content to train third-party AI foundation models.

(b) Outputs. Subject to applicable law and your compliance with this EULA, you may use Outputs you generate for your own purposes consistent with the Terms of Service. You acknowledge that:

  • AI Outputs may be inaccurate, incomplete, biased, or otherwise unsuitable;
  • Identical or similar Outputs may be generated for other users; Fiatos makes no exclusivity claim over Outputs;
  • You are responsible for reviewing and validating Outputs before relying on them, especially for any decision involving health, finance, law, safety, or significant consequences;
  • Outputs do not constitute legal, medical, financial, or other professional advice.

You shall not represent Outputs as having been created without AI assistance where such representation would be deceptive or unlawful.

5. Updates

Fiatos may, at its discretion, provide updates, patches, new versions, or modifications to the Software (“Updates”). Updates are part of the Software and subject to this EULA unless accompanied by separate terms. Fiatos may also modify or discontinue features of the Software at any time, with reasonable notice for material changes that adversely affect paid subscribers.

6. Children’s Use (Lucid)

Lucid is intended for use by children with the consent and supervision of a parent or legal guardian. The parent or guardian is the licensee under this EULA and is responsible for the child’s compliance with it. Fiatos collects and processes personal information from children only as described in the Privacy Policy and only with verifiable parental consent in accordance with the Children’s Online Privacy Protection Act (“COPPA”).

7. Third-Party Components

The Software may include or rely on third-party software, models, services, and open-source components, each of which is subject to its own license. A list of material third-party components and their licenses is available on request at ben@fiatos.ai. To the extent any open-source license requires that components be made available under different terms, those terms govern those components only.

8. Subscription, Fees, and Term

If the Software is offered on a paid basis, your access requires an active subscription. Fees, billing frequency, and feature scope are set out at purchase. Subscriptions auto-renew until canceled. Fees previously paid are non-refundable except where required by law.

This EULA remains in effect until terminated. The licenses granted under Section 1 terminate automatically if you breach any material term and fail to cure within 10 days of notice, or immediately for breaches of Section 2 (License Restrictions) or Section 6 (Children’s Use). Upon termination, you must cease all use of the Software and delete any copies in your possession or control. Sections 2, 3, 4(b), 9, 10, 11, 12, 13, 14, and 15 survive termination.

9. Confidentiality

The Software, including any non-public APIs, prompts, model behaviors, and benchmarking results, contains confidential information of Fiatos. You shall not disclose Fiatos confidential information to any third party except as necessary to use the Software in accordance with this EULA, and you shall protect it with at least the same degree of care you use for your own confidential information (and no less than reasonable care).

10. Disclaimer of Warranties

The Software is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and title. Fiatos does not warrant that the Software will be uninterrupted, secure, or error-free, that defects will be corrected, or that Outputs will be accurate or fit for any purpose. Some jurisdictions do not allow the exclusion of implied warranties; the foregoing applies only to the extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Fiatos shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, use, or goodwill, arising out of or related to the Software or this EULA, regardless of legal theory, even if Fiatos has been advised of the possibility of such damages. Fiatos’s total cumulative liability arising out of or related to the Software or this EULA shall not exceed the greater of (a) the amount you paid Fiatos for the Software in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

These limitations are essential to the bargain between you and Fiatos and apply regardless of whether any limited remedy fails of its essential purpose.

12. Indemnification

You shall defend, indemnify, and hold harmless Fiatos, its officers, employees, and contractors from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Software in violation of this EULA or applicable law, (b) your User Content, (c) your use of Outputs, or (d) your breach of any third-party right.

13. Export Control and Sanctions

The Software may be subject to U.S. and foreign export control and economic sanctions laws. You represent that you are not located in, and are not a national of, a country subject to U.S. embargo, and that you are not on any U.S. government list of restricted parties. You shall not export, re-export, or transfer the Software in violation of applicable law.

14. U.S. Government End Users

The Software is “commercial computer software” and “commercial computer software documentation” under FAR 12.212 and DFARS 227.7202. U.S. Government users acquire the Software with only the rights set forth in this EULA.

15. Governing Law; Venue

This EULA is governed by the laws of the State of Colorado, excluding its conflict-of-laws principles. Any dispute arising out of or related to this EULA shall be brought exclusively in the state or federal courts located in Jefferson County, Colorado, and you consent to personal jurisdiction and venue there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

16. General

Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings.

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

No Waiver. Failure to enforce any provision is not a waiver.

Assignment. You may not assign this EULA without Fiatos’s written consent; Fiatos may assign in connection with a corporate transaction.

Notices. Notices to Fiatos must be sent to ben@fiatos.ai or to 14335 West Center Drive, Lakewood, CO 80228, USA.

Force Majeure. Neither party is liable for failure to perform due to causes beyond reasonable control.
